Foreign companies and organizations can open their branches in Romania only with consent of the Ministry of Trade and Commerce. The consent refers to: type of activity, conditions, time and place of activity.

Foreign investors can choose from five types of companies: limited liability company, public limited company, general partnership, mixed partnership, professional partnership.

Fees for registration in the Trade Register are: minimal fee (one type of activity) 75,5 Leu (ca. 25 USD), maximal fee (all types of activity) – 377,5 Leu (ca. 112 USD). Minimal stock capital of Ltd. is 200 Leu (ca. 60 USD).

In case of plc. the stock capital is 25 000 USD paid in Leu. The companies which does not fulfill the requirements are deleted from the Register. Next steps are: creation of Founding Act in the Trade Chamber, authentication of documents at notary’s office, payment for advertisement in the Official Monitor.
